PATCHED Grass Roots Scheme – Terms and Conditions

Welcome to the Grass Roots Scheme operated by PATCHED (“we”, “us”, “our”), a UK-based company providing custom baseball caps featuring removable Velcro patch designs. By registering for this Scheme through our website (www.patch-d.co.uk), your sports club (“you”, “your”, “Club”) agrees to the following Terms and Conditions.
1. Overview of the Scheme
The PATCHED Grass Roots Scheme allows registered sports clubs to receive custom-designed baseball caps created by PATCHED, featuring a removable Velcro patch system and a unique design associated with the Club. In exchange for the Club’s participation and branding, PATCHED will pay a revenue share for each qualifying sale.
2. Registration and Eligibility
To participate in the Scheme:

Your Club must complete the official registration form provided by PATCHED.

You must designate an authorised representative to liaise with PATCHED.
3. Intellectual Property and Design Rights
By joining the Scheme, your Club agrees to:

Provide PATCHED with a high-resolution version of your official team logo.
-
Grant PATCHED a non-exclusive, royalty-free, global license to use your Club’s name, logo, and branding materials for the purpose of designing, marketing, and selling the custom cap.

Grant PATCHED full creative control and design rights over the final cap design, including but not limited to patch layout, colour scheme, and overall aesthetic.
PATCHED retains all intellectual property rights to the final cap design.
4. Sales and Revenue Sharing

PATCHED will list the Club’s custom cap on www.patch-d.co.uk for sale.

The Club will receive 10% of the "Sale Profit" from each cap and patch sold that features their team’s branding.

“Sales Profit” is defined as the gross sale price minus any material cost, returns, shipping costs, and VAT.
5. Payment Terms

Payments to the Club will be made monthly, on the 1st day of each month.
-
Payments will be made via bank transfer to the account details provided by the Club at registration.
-
Only sales completed in the previous calendar month will be included in each monthly payout.
-
No payment will be made for months where no sales occurred.
6. Club Responsibilities
The Club agrees to:

Promote the PATCHED cap via their own channels (e.g., social media, newsletters, match days) where reasonably possible.
-
Ensure that all information provided to PATCHED is accurate and up to date.
-
Refrain from reproducing, selling, or distributing the PATCHED-designed cap independently.
7. Termination
PATCHED reserves the right to remove any Club from the Scheme at any time for any reason, including but not limited to breach of these Terms.
The Club may also request removal from the Scheme with 30 days’ written notice. In such cases:

The custom cap will be removed from sale.

All outstanding payments will be settled in the next payment cycle.
8. Limitation of Liability
PATCHED will not be liable for any indirect, incidental, or consequential damages arising from participation in this Scheme. Total liability shall not exceed the total payments made to the Club during the previous 12-month period.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising will be subject to the exclusive jurisdiction of the English courts.
